Client Services Agreement
Last updated 24 October 2026.
Version 1.0. This agreement is between Ali Ali trading as Infinite WebWorks (ABN 98 514 351 043) ("we", "us") and the business or person named on the quote or proposal ("you"). It applies when you accept a quote or proposal from us, online or in writing. The accepted quote or proposal sets out the scope, price and timeline of your project; this agreement sets out how we work together. If the two conflict, the quote or proposal applies for scope, price and timing, and this agreement applies for everything else.
1. Scope of work
1.1 We will deliver the work described in your accepted quote or proposal (the "Scope"). Anything not listed in the Scope is not included.
1.2 Unless the Scope says otherwise, design work includes two rounds of revisions at each design stage. Further rounds are a change request.
1.3 We may use trusted subcontractors to help deliver the work. We remain responsible for their work and they are bound by the same confidentiality obligations as us.
2. Change requests
2.1 If you would like to add to or change the Scope, tell us in writing (email is fine). We will reply with the effect on price and timeline before we start the change.
2.2 We only start a change once you approve it in writing. Approved changes form part of the Scope and are invoiced as agreed.
2.3 Small adjustments that take less than about an hour in total and do not affect the timeline may be made without a formal change request, at our discretion.
3. Your responsibilities
3.1 You will provide the content, information, access and approvals we reasonably need, and confirm you have the right to provide them (for example, images, logos and text).
3.2 Please respond to requests for feedback or approval within five business days. If information or approvals arrive late, the timeline moves by at least the same amount and we will confirm a revised date.
3.3 You are responsible for the accuracy and lawfulness of the content you supply and the products, prices and claims you publish.
4. Fees, deposit and payment
4.1 Prices are in Australian dollars. We are registered for GST, and GST is added where it applies and shown on our tax invoices.
4.2 Unless your quote sets a different schedule, project fees are paid in three stages:
- 40% deposit before work begins, which secures your place in our schedule;
- 40% when the main milestone in your quote is delivered (usually design approval or the first working build);
- 20% on completion, before the work goes live or is handed over.
Projects under $5,000 (excluding GST) are usually billed as 50% deposit and 50% on completion.
4.3 Invoices are due within 14 days unless the invoice says otherwise. Monthly plans (for example hosting, maintenance or support) are invoiced in advance each billing period.
4.4 If an invoice is more than 14 days overdue, we will remind you in writing. If it remains unpaid seven days after that reminder, we may pause work or a monthly service until it is paid, and the timeline moves accordingly.
4.5 Third-party costs, such as domain names, hosting plans, software licences, stock imagery, app store fees, payment gateway fees, SMS or AI usage, are not included unless listed in your quote. They are paid by you, either directly to the provider or reimbursed to us at cost.
5. Ownership and intellectual property
5.1 Once you have paid all fees for the project in full, you own the intellectual property in the deliverables created specifically for you, including the final designs, website or app code written for your project, and content we write for you. Until then, you have a licence to use the deliverables for the purpose of the project.
5.2 We keep ownership of our pre-existing materials and general tools, such as code libraries, components, templates, frameworks and know-how that we use across projects. Where they form part of your deliverables, you receive a permanent, non-exclusive, royalty-free licence to use, modify and maintain them as part of your project.
5.3 Third-party and open-source components remain subject to their own licences, which you agree to comply with.
5.4 We may show the completed work in our portfolio and on our marketing channels, describing it accurately. If you would prefer that we do not, tell us in writing and we will remove or not publish it. We will never publish your confidential information.
6. Hosting, domains and handover
6.1 Domain names should be registered in your name. If we register one on your behalf, we hold it for you and transfer it to you on request.
6.2 If you choose a hosting or management plan with us, we arrange hosting through reputable third-party providers (for example Netlify, Vercel or Amazon Web Services) and manage it for you. We take reasonable care to keep your site available, secure and backed up, but availability ultimately depends on those providers and we cannot guarantee uninterrupted service.
6.3 If you host the work yourself or with another provider, you are responsible for that hosting, its security and its backups after handover.
6.4 When a project or plan ends and all fees are paid, we will hand over the files, code, data and account access you own within 30 days of your written request. If the handover needs significant extra work (for example migration to another platform), we will quote it first.
7. Defects and support
7.1 For 30 days after launch or handover, we will fix defects in the work we delivered at no charge. A defect is something that does not work as described in the Scope. It does not include new features, changes in your requirements, or problems caused by changes made by someone else or by third-party services.
7.2 After that period, support and updates are available under a monthly plan or at our hourly rates.
8. Results, search and AI
8.1 We design and build to help you get results, but we cannot guarantee specific outcomes, such as search rankings, traffic, enquiries, sales or savings, because they depend on factors outside our control.
8.2 AI features (for example AI receptionists, chat assistants or automated replies) can make mistakes. We build in review steps and hand-offs to a person where it matters, and you remain responsible for checking how they are used in your business.
8.3 AI receptionists and assistants we build identify themselves as AI, and where calls or conversations are recorded or transcribed they tell people so at the start. You must keep these notices switched on and comply with the laws that apply to you, including the Surveillance Devices Act 2007 (NSW) or its equivalent in your state, and the Privacy Act 1988 (Cth).
9. Confidentiality and privacy
9.1 Each of us will keep the other's confidential information confidential and use it only for the project, unless the law requires otherwise.
9.2 Where we handle personal information on your behalf (for example customer details in a CRM or website forms), we do so only to deliver your services, protect it with reasonable security measures and handle it in line with the Privacy Act 1988 (Cth) and our privacy policy.
10. Liability
10.1 Nothing in this agreement excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.
10.2 Where the law allows us to limit our liability for a failure to comply with a consumer guarantee, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
10.3 Otherwise, and to the extent permitted by law, our total liability to you arising from a project or plan is limited to the fees you paid us for that project, or for a monthly plan the fees paid in the 12 months before the claim arose.
10.4 To the extent permitted by law, neither of us is liable to the other for indirect or consequential loss, including loss of profit, revenue, data or opportunity. This does not limit liability for fraud, wilful misconduct or a breach of confidentiality.
10.5 Each party's liability is reduced to the extent the other party caused or contributed to the loss.
11. Ending the agreement
11.1 Either of us may end a project or plan by giving 14 days' written notice. You pay for work completed and costs committed up to the end date. If you have paid more than that, we refund the difference; if less, we invoice the balance.
11.2 Either of us may end the agreement immediately by written notice if the other seriously breaches it and does not fix the breach within 14 days of being asked to.
11.3 Clauses about payment, ownership, confidentiality, liability and handover continue after the agreement ends.
12. Disputes
12.1 If a dispute arises, we will both first try to resolve it by talking in good faith. If it is not resolved within 20 business days, either of us may refer it to mediation in Sydney before starting court proceedings (except for urgent relief).
13. General
13.1 This agreement, together with your accepted quote or proposal and any approved change requests, is the entire agreement for your project.
13.2 We may update this agreement for future projects. Changes do not affect a project already accepted unless you agree in writing. The version that applied when you accepted your quote is the one that applies to that project.
13.3 Accepting a quote or proposal online, by email or by paying the deposit counts as accepting this agreement.
13.4 This agreement is governed by the laws of New South Wales, Australia.
